Unless specifically agreed to in writing by Drew McManus LLC, Customer shall not alter or modify, or permit other parties to alter or modify, the Material. No part of the Material may be copied, reproduced, or used in any form for any purpose other than for those rights stated at checkout. Customer shall not use the Material as part of a logo, trademark, service mark, or book cover. The Material may not be used for promotional purposes and may not be used to directly promote or advertise Customer or any third-party products or services. Customer agrees not to use the Material in any disparaging, pornographic, defamatory, or unlawful manner whether directly or in context or juxtaposition with other subject matter and agrees not to make any derogatory reference to the Materials or to Drew McManus LLC or the producer of the Materials. Customer shall not use the Materials in such a way as to violate any person’s right of privacy or publicity or to infringe upon any copyright, trade name, trademark or service mark of any person or entity. In the event Customer is granted the right to distribute the Materials in electronic or digital form hereunder, Customer agrees to use reasonable commercial efforts to prevent the Materials from being separately distributed or downloaded. Customer agrees to indemnify and hold Drew McManus LLC and the producer of the Materials and their respective affiliates harmless from any and all claims and liabilities, judgments, penalties, losses, costs, damages, and expenses resulting therefrom, including reasonable attorneys’ fees, incurred by any of them arising by reason of or in connection with any act under or in violation of this Agreement by Customer.
